Steelcrest GPO, backed by CDL Nuclear Technologies ("Steelcrest," "we," "our," or "us"), provides group purchasing organization (“GPO”) services, supplier information, product resources, and related services through our website, https://steelcrestgpo.com (the “Site,” and together with our service offerings, the "Services"). These Terms of Use (these "Terms"), together with any other applicable policies or documents expressly incorporated herein by reference, are entered into by and between you (“you” or “your”) and Steelcrest. These Terms govern your access to and use of the Services, including any and all related content, features, functionality, and services available through this website. Our handling of information collected through the Services is governed by our Privacy Policy. The Services are operated from the United States and are subject to United States law.

PLEASE READ THESE TERMS CAREFULLY BEFORE ACCESSING OR USING THE SERVICES. THESE TERMS GOVERN YOUR USE OF THE SERVICES AND AFFECT YOUR LEGAL RIGHTS AND OBLIGATIONS. YOU REPRESENT AND WARRANT THAT YOU ARE AT LEAST EIGHTEEN (18) YEARS OLD AND POSSESS THE LEGAL RIGHT AND ABILITY TO AGREE TO THESE TERMS. THESE TERMS SHALL REMAIN IN EFFECT UNTIL YOU CEASE USING THE SERVICES, OR UNTIL STEELCREST TERMINATES YOUR RIGHT TO USE THE SERVICES. BY ACCESSING OR USING ANY PART OF THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THESE TERMS, INCLUDING DISCLAIMERS OF WARRANTIES, DAMAGES EXCLUSIONS AND LIMITATIONS, AND A CHOICE OF PENNSYLVANIA LAW.

Steelcrest reserves the right, at its sole discretion, to modify these Terms at any time, without notice to you. Any such modifications shall be effective immediately upon being posted to our Site. Your continued use of the Services following the posting of any changes constitutes your acceptance of those changes.

Access and Use of the Services
Steelcrest grants you a limited, revocable, personal, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for lawful business or informational purposes, subject to these Terms.

To the extent you post, upload, submit, input, or otherwise provide information, data, or other materials through the Services (collectively, “User Content”), you represent and warrant that the information is true, complete, and accurate, and that you have the authority to provide such information. You shall be responsible for the accuracy, legality, and quality of the User Content provided by you, and you grant to Steelcrest a worldwide, irrevocable, perpetual, non-exclusive, and royalty-free license and right to use, process, access, display, reproduce, adapt, and otherwise exploit such User Content as reasonably necessary to perform our obligations under these Terms or as otherwise expressly set forth herein. You further agree that the User Content and the use of such User Content by Steelcrest will not infringe upon the rights of any third party.

Steelcrest may utilize third-party service providers to facilitate the operation of the Services. By submitting information through the Services, you acknowledge and agree that such information may be shared with these service providers in accordance with our Privacy Policy.

Steelcrest may suspend or terminate access to the Services at any time, with or without notice, for reasons including but not limited to suspected fraud, misuse of the Services, security concerns, or violation of these Terms. From time to time, we may restrict access to some or all parts of the Services. We will not be liable if, for any reason, all or any part of the Services is unavailable at any time or for any period of time.

If you breach any of these Terms, your authorization to use the Services automatically terminates, and we reserve the right to (i) terminate, suspend, or limit your access to or use of the Services; (ii) notify law enforcement, regulatory authorities, impacted third parties, and others as we deem appropriate; (iii) refuse to provide the Services to you in the future; and/or (iv) take legal action against you.

While Steelcrest makes commercially reasonable efforts to maintain the availability of the Services, uninterrupted access cannot be guaranteed. Steelcrest shall not be liable for interruptions resulting from maintenance, technical failures, internet outages, acts of God, or events beyond its reasonable control.

Use Restrictions
You agree that you will not use the Services for any purpose that is unlawful or prohibited by these Terms. You may not use the Services in any manner that could damage, disable, overburden, or impair the Services, its host, or any user of the Services. You may not use the Services to interfere with any other party’s use of the Services.

In addition to the other restrictions set forth in these Terms, you agree that you shall not (and shall not allow or encourage a third party to):

  • Violate any applicable law or regulation.
  • Upload, use, or transmit any communications, materials, or content of any type that infringes upon, misappropriates, dilutes, or otherwise violates any intellectual property or proprietary rights of Steelcrest or any third party.
  • Use any metatags, search engine keywords, or hidden text utilizing Steelcrest’s trademarks or any other items of Steelcrest’s intellectual property.
  • Collect, reverse look-up, trace, or seek to trace, manually or through automated means, information about other users or visitors to the Services without their express consent or other information relating to the Services.
  • Upload, use, store, disseminate, or transmit malicious software, viruses, Trojan horses, worms, time bombs, corrupted files, or any other harmful code or program.
  • Probe, scan, or test the vulnerability of the Services or any network connected thereto, or breach the security or authentication measures on the Services or any network connected thereto through hacking, password-mining, or any other means not intentionally or readily made available through the Services.
  • Attempt to gain unauthorized access to the Services, Content, servers, or related systems.
  • Use any deep-link, bots, spiders, scrapers, data mines, or any other automated devices, programs, algorithms, processes, or methods to access, acquire, copy, scrape, harvest, collect, or monitor any portion of the Services or Content or information from the Services, or in any way reproduce or circumvent the navigational structure or presentation of the Services to obtain or attempt to obtain any materials, documents, or information through any means not purposely made available through the Services, without prior written authorization.
  • Misrepresent your identity or your affiliation with a person or entity (including, without limitation, Steelcrest), provide false information, impersonate another person or entity, create or use a false identity, or attempt to use another user’s account.
  • Advertise, offer to sell, or sell any goods or services set forth on the Services, or otherwise use the Services to solicit other visitors, except as expressly permitted in writing in advance by Steelcrest.
  • Interfere with the operation, security, or integrity of the Services, including taking any action that imposes an unreasonable or disproportionately large load upon the infrastructure of the Services, Steelcrest’s systems and networks, or any systems or networks connected thereto.
  • Use the Services in any manner that could damage, disable, overburden, or impair the Services or interfere with another user's access thereto.
  • Defame, abuse, harass, stalk, threaten, or otherwise violate the legal rights of any third party.
  • Engage in any other activity through the Services that is deemed by Steelcrest, in its sole reasonable discretion, to be in conflict with the spirit or intent of these Terms.

Geographic Restrictions
The Services are intended to be used by residents located in the United States who are eighteen (18) years of age or older. We make no representations that the Services or any of its content is accessible or appropriate outside of the United States. If you access the Services from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.

The U.S. export control laws regulate the export and re-export of technology originating in the United States, including the electronic transmission of information and software to foreign countries and certain foreign nationals. You may not use, export, or re-export any content on or derived from the Services in violation of any applicable laws or regulations, including without limitation the Export Administration Act and the Arms Export Control Act.

Intellectual Property
Trademarks
Steelcrest trademarks, logos, service marks, trade names, trade dress, and other indicia of source (collectively, the “Trademarks”) displayed on the Services, including but not limited to “STEELCREST” and “STEELCREST GPO,” are registered and unregistered trademarks of Steelcrest and/or our licensors. Nothing contained on the Services should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Trademarks displayed on the Services without the advance written permission of Steelcrest or such third party that may own other trademarks displayed on the Services. No Trademarks may be used as a domain name without our prior written permission.

Content
The Services and all text, graphics, logos, images, software, product information, trademarks and service marks (including the Trademarks), designs, icons, headers, interfaces, scripts, works of authorship (whether or not copyrightable), and other content made available through the Services (collectively, the "Content") are solely and exclusively owned by or licensed to Steelcrest and are protected to the fullest extent under United States and international intellectual property laws, each as may be amended from time to time.

Except for the limited rights expressly granted under these Terms, no ownership rights are transferred to you. You may not copy, reproduce, distribute, modify, display, publish, transmit, license, sublicense, sell, assign, post, reverse-engineer, or create derivative works from any Content, in whole or in part, for any purposes except as expressly provided in these Terms or with prior written permission from Steelcrest.

User Feedback
Any remarks, comments, suggestions, ideas, enhancement requests, or other feedback submitted to Steelcrest by you regarding the Services, including via social media pages, responses to surveys, requests for feedback, and other areas or mechanisms by which you may submit comments or other content (collectively, the “Feedback”), shall be the sole and exclusive property of Steelcrest, and we shall have exclusive ownership of all present and future rights, title, and interest in and to the Feedback of every kind and nature whatsoever. You hereby irrevocably and absolutely assign and set over to us any and all rights, title, and interest you may have in and to such Feedback. You agree that Steelcrest may, in our sole discretion, use such Feedback in any way without restriction or compensation. We will not be required to treat any Feedback as confidential, and we will not be liable for any ideas (including, without limitation, product, service, or advertising ideas) or liability as a result of any similarities that may appear in our future products, services, or operations. You acknowledge that you are responsible for whatever material you submit, and you, not us, have full responsibility for its legality, reliability, appropriateness, originality, and copyright.

Privacy
Steelcrest will collect, use, store, disclose, and process personal information that you provide or that we collect through the Services in accordance with our Privacy Policy, which is incorporated into and made part of these Terms by reference. By using the Services, you acknowledge that you have reviewed and agree to the Privacy Policy. If you are unwilling to accept the terms and conditions of the Privacy Policy, please do not use the Services.

Member Account, Password, and Security
If the Services require you to register for a log-in account, you must complete the registration process by providing us with current, complete, and accurate information as prompted by the applicable registration form. You are entirely responsible for maintaining the confidentiality of your account information. Furthermore, you are entirely responsible for any and all activities that occur under your account. You agree to notify Steelcrest immediately of any unauthorized use of your account or any other breach of security. Steelcrest will not be liable for any loss that you may incur as a result of a third party’s using your account, whether with or without your knowledge. You may be liable for losses incurred by Steelcrest or another party due to a third party’s use of your account. You may not use another’s account at any time without the permission of the applicable account holder.

Communications
If you voluntarily provide your contact information (including your email address and/or phone number), or if you send emails to us, you consent to receiving communications from us or on our behalf through emails, phone calls, and/or other methods, regarding products, services, updates, events, or other information related to our business. You understand that emails and other communications have inherent privacy risks, including that unencrypted emails are not secure and can be accessed, intercepted, or altered by an unauthorized third party without your knowledge or authorization. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. You may opt out of our marketing communications at any time.

Steelcrest does not control, author, edit, or monitor the Linked Sites, nor does Steelcrest endorse any Linked Sites or any services or products thereon. Steelcrest is not responsible for the content, accuracy, availability, or privacy practices of such Linked Sites. Your access or use of third-party websites is entirely at your own risk.

Once you leave the Services, our Terms no longer govern. You should review the separate terms of use, privacy policies, and other rules of the Linked Sites before you use them. You acknowledge and agree that Steelcrest shall not be liable for any damages or injury arising from or relating to the content of or your access to such Linked Sites.

YOU BEAR ALL RISK ASSOCIATED WITH THE USE OF ANY LINKED SITES, THIRD-PARTY SERVICES, AND YOUR CORRESPONDENCE OR BUSINESS DEALINGS WITH ANY THIRD PARTY FOUND ON OR THROUGH OUR SERVICES.

IF YOU ARE DISSATISFIED WITH THE SERVICES OR THESE TERMS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SERVICES.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OR EXCLUSIONS OF LIABILITY IN SOME CIRCUMSTANCES. CONSEQUENTLY, SOME OF THE FOREGOING LIMITATIONS MAY NOT APPLY TO YOU.

Indemnification
You shall defend, indemnify, and hold harmless Steelcrest, our licensors and service providers, and our and their respective affiliates, officers, directors, members, managers, employees, agents, contractors, suppliers, successors, assigns, and partners from and against any and all claims, damages, liabilities, losses, costs, judgments, awards, fees, and expenses, including reasonable attorneys' fees, arising from or relating to your use of the Services (including without limitation your use of any information obtained from the Services or any Content), your violation of these Terms, or your violation of any rights of another party.

Governing Law; Limitation on Actions; Dispute Transaction
These Terms shall be governed by and construed in accordance with the laws of the United States and the Commonwealth of Pennsylvania, without regard to its conflict of law principles.

Any dispute arising from or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Allegheny County, Pennsylvania, and you hereby waive all rights to assert arguments of an inconvenient or improper forum.

You agree that any dispute arising out of these Terms or your use of the Services must be filed within one (1) year after the claim or cause of action arises, or such claim or cause of action shall forever be barred, notwithstanding any statute of limitations or other law to the contrary. Within this period, any failure by us to enforce or exercise any provision of these Terms or related right shall not constitute a waiver of that right or provision.

Further, you hereby agree that any dispute arising out of or relating in any way to these Terms or your use of the Services or any Content or information therefrom shall require that such claim be resolved exclusively by confidential binding arbitration. The arbitration shall be conducted before three neutral arbitrators in Allegheny County, Pennsylvania, in accordance with the rules of the American Arbitration Association (“AAA”), as then in effect. No claims of any other parties may be joined or otherwise combined in the arbitration proceeding. Unless otherwise expressly required by applicable law, each party shall bear its own attorneys’ fees without regard to which party is deemed the prevailing party in the arbitration proceeding. Notwithstanding anything to the contrary herein, punitive and consequential damages may not be awarded under these Terms.

BECAUSE THE USE OF THE SERVICES REQUIRES THE ARBITRATION OF ANY CLAIMS OR DISPUTES EXISTING BETWEEN THE PARTIES, NEITHER PARTY WILL HAVE THE RIGHT TO PURSUE THAT CLAIM IN COURT OR BEFORE A JUDGE OR JURY OR TO PARTICIPATE IN A CLASS ACTION OR ANY OTHER COLLECTIVE OR REPRESENTATIVE PROCEEDING. THE ARBITRATORS’ DECISION WILL BE FINAL AND BINDING. OTHER RIGHTS THAT EITHER PARTY WOULD HAVE IF SUCH PARTY WENT TO COURT, INCLUDING WITHOUT LIMITATION THE RIGHT TO CONDUCT DISCOVERY OR TO APPEAL, MAY BE LIMITED OR UNAVAILABLE IN ARBITRATION.

The award of the arbitrators may be enforced in any court having jurisdiction thereof. Each party hereby consents (i) to the exclusive jurisdiction of the state or federal courts located in Allegheny County, Pennsylvania, for any action (a) to compel arbitration, (b) to enforce any award of the arbitrators, (c) at any time prior to the qualification and appointment of the arbitrators, for temporary, interim, or provisional equitable remedies, or (d) to enforce Steelcrest’s intellectual property rights under these Terms, and (ii) for service of process in any such action by registered mail or any other means provided by applicable law. Should this Section be deemed invalid or otherwise unenforceable for any reason, it shall be severed, and the parties agree that sole and exclusive jurisdiction and venue for any claims will be in the state or federal courts in Allegheny County, Pennsylvania.

Miscellaneous
Steelcrest may assign its rights and obligations under these Terms without notice. You may not assign your rights or obligations without the prior written consent of Steelcrest.

If any provision of these Terms is determined by a court of competent jurisdiction to be invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect as nearly as possible the original intention of the parties, and the remaining provisions shall remain in full force and effect.

These Terms constitute the entire agreement between you and Steelcrest regarding your use of the Services and supersede any and all prior or contemporaneous agreements, communications, or proposals (whether written, oral, or electronic) by and between you and Steelcrest relating to the subject matter herein.

No waiver of any provision of these Terms or breach by you or other parties shall be deemed a continuing waiver of such provision or breach or any other provision or breach.

No joint venture, partnership, employment, or agency relationship will exist between you and Steelcrest as a result of these Terms or your use of the Services. Nothing contained in these Terms is in derogation of Steelcrest’s right to comply with governmental, court, and law enforcement requests or requirements relating to your use of the Services or information provided to or gathered by Steelcrest with respect to such use. A printed version of these Terms and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to these Terms to the same extent, and subject to the same conditions, as other business documents and records originally generated and maintained in printed form.
